Terms and Conditions

These Terms and Conditions govern the use of iMultichannel's services.

1. Scope of Services

iMultichannel provides professional digital commerce services, which may include (but are not limited to):

  • Amazon PPC management
  • Amazon listing optimisation and A+ content
  • Strategic marketplace advisory
  • Shopify store setup and optimisation

The exact scope of work is agreed in writing with each client prior to commencement.

2. Advertising Spend

Clients are responsible for paying advertising platforms (including but not limited to Amazon, Meta, or other third-party platforms) directly.

iMultichannel does not process, collect, or hold advertising spend. Our fees relate solely to management, strategy, and professional services.

3. Client Access & Cooperation

Clients must provide timely access to required accounts (e.g. Amazon Seller Central, Shopify, advertising platforms).

Delays in providing access, approvals, or information may result in delayed delivery or performance outcomes, for which iMultichannel cannot be held responsible.

4. Third-Party Platforms

iMultichannel is not responsible for:

  • Platform suspensions or restrictions
  • Algorithm changes
  • Policy updates
  • Account limitations imposed by Amazon, Shopify, or other third-party platforms

Clients agree to hold iMultichannel harmless from losses arising from third-party platform actions beyond our control.

5. Performance Disclaimer

While we apply commercially reasonable efforts and best practices, no guarantees are made regarding:

  • Sales performance
  • Advertising results
  • Rankings
  • Revenue growth
  • Return on ad spend (ROAS)

All outcomes depend on multiple factors outside our control.

6. Fees, Invoicing & Payment

Invoices are issued in accordance with the agreed engagement terms.

  • Payment is due within 7 days of invoice issuance
  • iMultichannel reserves the right to pause services if invoices remain unpaid

7. Termination & Cancellation

Ongoing / Retainer Services

Either party may terminate ongoing services by providing 30 days' written notice.

Fees remain payable for services delivered up to the termination date.

One-Time / Project Services

For one-time or project-based services:

  • Cancellation or termination is not permitted once the project has been confirmed in writing
  • Fees remain payable once work has commenced or resources have been allocated

8. Intellectual Property

Unless otherwise agreed:

  • iMultichannel retains ownership of its methodologies, frameworks, processes, and know-how
  • Upon full payment, clients own their brand assets and deliverables created specifically for them

9. Confidentiality & Data Protection

iMultichannel treats client data, including sales data and performance metrics, as confidential.

We process personal data in accordance with UK GDPR and applicable data protection laws.

10. Governing Law

These Terms are governed by the laws of England and Wales.
